Using the Tricker Model as an integrating framework, this module defines corporate governance and outlines how it operates in practice. Explore the boundaries between board and the executive, the balance between conformance and performance, and ensuring the appropriate level of monitoring and supervising of management activity.

Dr Ulysses Chioatto, Adjunct Associate Professor of Law

Ulysses was most recently, the Executive Director and Head of Research Australia and New Zealand for Institutional Shareholder Services (ISS). In this role, he gained an invaluable insight into ASX 300 companies’ corporate governance by engaging with the Chairs and boards of each company and their committees. He has also extensively engaged with local and global institutional investors and fund managers such as Blackrock.

In the past two decades Ulysses has been a trusted adviser to boards, directors and chairs of ASX, private, NFP, NGO, and government corporations including their assessment, and creating skills matrices for the board and individual directors. He has led and conducted over 300 corporate reviews, assessing governance and risk management frameworks for boards and senior management teams.

Anne is an experienced Non-Executive Director with over 9 years’ experience in various roles in the Not-for- Profit sector. Combined with her over 30 years’ experience in the hospital sector, Anne’s focus is on aligning organisational mission and values with strategy, focusing on promoting positive and sustainable outcomes for clients, staff and the wider community.
