AGMs using technology

Governance Institute of Australia, AICD, AIRA and the Business Law Section of the Law Council of Australia have released a joint guide to help companies navigate the use of technology in AGMs. The guidance reflects lessons learned since hybrid and virtual meetings became a permanent option under corporate law and encourages boards to move beyond compliance and focus on meaningful member participation.

The guide outlines what a “reasonable opportunity to participate” looks like in practice, including real-time voting, accessible Q&A, and clear communication of participation rights. It also addresses emerging risks such as cybersecurity threats and the use of AI in virtual meetings, and provides practical advice for managing disruptions, handling member questions, and supporting the role of the chair.
