Executive management team


  • Megan Motto, FGIA FCG Chief Executive Officer

    Prior to her appointment as CEO of Governance Institute, Megan was CEO of Consult Australia, the industry association for the engineering and technical services sector. She is currently a director of Standards Australia, a member of the ASIC Corporate Governance Consultative Panel and a councillor of the Australian Chamber of Commerce and Industry (ACCI) where she chairs the Data, Digital and Cyber Security Forum.

    Megan holds a BA/BEd, an MA in Communication Management and has recently completed her Graduate Diploma of Corporate Governance and Risk Management with Governance Institute. Megan is a member of Chief Executive Women, an Honorary Life Trustee of the Committee for Economic Development of Australia (CEDA) and was a 2014 recipient of the AFR/Wespac 100 Women of Influence.


  • David O’Kane, FGIA FCG Chief Operations Officer

    David joined Governance Institute of Australia in February 2022, with considerable commercial experience and over 15 years in senior roles in the for-purpose sector, including as COO at the Financial Services Institute of Australasia (FINSIA) and with Medecins Sans Frontieres Australia (MSF). David’s responsibilities include finance, IT, people and culture, risk management, legal and compliance, and property.

    David holds a BA in Economics & Public Policy, is a qualified accountant with the Chartered Institute of Management Accountants (CIMA) and completed the Governance Institute’s Post Graduate Diploma in Applied Corporate Governance in 2007.


  • Leon Cox, General Manager, Membership & Engagement

    Prior to joining Governance Institute, Leon was Advisor to the CEO at the Institute of Chartered Accountants Australia. His previous roles have been with CPA Australia and the RACV Club.

    Leon holds a Bachelor of Business, Human Resources and Hospitality Management from Victoria University. Leon also holds a Certificate IV in Workplace Training and Assessment from the University of Melbourne, Training Services Department.


  • Catherine Maxwell, FGIA FCG General Manager, Policy & Advocacy

    Catherine joined Governance Institute in August 2017 and is responsible for policy, advocacy and media. She has a strong background in governance and policy gained at the Australian Prudential Regulation Authority, the ASX Corporate Governance Council, ASX, the Australian Institute of Company Directors and the Financial Services Council. She has also held roles as a Company Secretary with Cancer Council NSW, NPP Australia Limited and Youth off the Streets. She is a member of the Governance Committee of Cancer Council NSW.

    Catherine has a Bachelor of Arts (Hons) and a Bachelor of Laws from the University of Sydney. She qualified as a solicitor and has worked in a variety of legal roles in Australia and Hong Kong. She completed the Graduate Diploma of Applied Corporate Governance in 2008.


  • Mark Wilbourn, General Manager, Education

    Mark joined Governance Institute following a career in health education in universities in the United Kingdom and Australia. The education team supports Governance Institute’s objective of being the leading provider of accredited postgraduate education in governance practice. Governance Institute offers graduate certificates/ diplomas in governance and risk management.

    Mark holds a Bachelor of Science (Hons) (Biology) from the University of Portsmouth, a Certificate in Education: Post 16 from Sheffield Hallam University, and a Master of Science (Interprofessional Health and Social Care) from Canterbury Christ Church University.


  • Geoffrey Stirton, FGIA FCG Company Secretary

    Geoffrey has over 35 years’ experience in finance, company secretarial and line management roles including senior company secretarial roles for a variety of organisations including MLC, Investa, The Trust Company, Magellan Financial Group and Westpac. He has also had a long-standing involvement in the not-for-profit sector through the Australian Scholarships Foundation.

    Geoffrey holds a B Comm from the University of New South Wales, is a Chartered Accountant, a Fellow of the Australian Institute of Company Directors and a Chartered Secretary.

  • Anna Alexander, State Manager, VIC

    Anna is a legal practitioner with experience in senior management in various roles within the profession. Anna enjoys working with people and delivering opportunities for success and continuous improvement. Prior to commencing at the Governance Institute, Anna worked at the Law Institute of Victoria for over a decade and more recently as the CEO of the Australian Institute of Conveyancers (Victorian Division).


  • Susan Bradbrook, GIA(Affiliated) State Manager, SA, NT & TAS

    Susan is Fellow of the National Institute of Accountants. She has previously held positions of accountant, state administration manager and in customer relations/ marketing.

    Susan is on the board of CARA (Community Accommodation and Respite Agency) which is one of South Australia’s largest charities working in partnership with people living with a disability, their families and the community to create a better life.


  • Andrew Parker, State Manager, NSW & ACT

    Andrew is a highly motivated sales professional with over 20 years’ experience in business development, strategic alliances, stakeholder engagement and market sector development.

    Has held senior and executive positions in commercial lending, healthcare, corporate services and has worked for a number of leading industry and professional membership organisations such as CPA Australia and NSW Business Chamber.


  • Belinda Ramshaw, GIA(Affiliated) State Manager, WA

    Belinda has 10 years’ experience in the event management, including 5 years at Governance Institute. After joining the Institute in 2018, as Events Specialist, Belinda’s passion for delivering an effective membership and professional development experience through multiple events and focused stakeholder engagement, saw her rise to the role of National Events Lead, before being appointed as the WA State Manager.

    Belinda is deeply committed to the vision and purpose of Governance Institute, working with the governance and risk management community to deliver practice excellence.

    She is currently completing her Masters of Business Administration at Edith Cowan University.


  • David Schenk, GIA(Affiliated) State Manager, QLD

    David comes from a marketing, sponsorship, and event management background of more than 20 years that included running festivals, corporate events, and large-scale music festivals. Having overseen the evacuation of more than ten thousand people during a weather-related emergency event, Dave is passionate about the importance of good risk management.

    Dave also spent several years as Business Manager and Company Secretary for three not-for-profit and charitable organisations and on the board of a private school. Having also founded and built a successful event management business, he understands the need for effective governance.
