Early adopters suggest pressure points for governance disclosures
The 3rd edition of the ASX Corporate Governance Council’s Corporate Governance Principles and Recommendations came into effect on 1 July 2014. Most entities with a 30 June balance date will be disclosing against the new edition in their forthcoming annual reports, but 68 entities were ‘early adopters’. A random cross-section of disclosures from both large and small listed entities finds that 80 per cent of entities made their corporate governance disclosures on their websites and 40 per cent reported full adoption of the new recommendations and 60 per cent partial adoption.

OECD issues factbook on corporate governance
The OECD has published a second edition of its factbook on corporate governance. It provides the most comprehensive catalogue to date of the legal and regulatory frameworks, institutions and practices in place across more than 40 OECD and partner jurisdictions, to help policy-makers understand how different jurisdictions address the corporate governance issues and challenges raised in the OECD Corporate Governance Principles in practice.

Effective boards
The Investment Association in the UK and EY have published a joint report Board Effectiveness: Continuing the Journey, based on a series of individual meetings and roundtables held jointly by the joint project partners, which brought together chairmen, directors and senior investors to debate the issue.

Investors continue the push on gender diversity
Both AMP Capital and Blackrock recently issued report cards on how the boards of ASX companies are faring in terms of progress on gender diversity.

Governance a key issue in first report on charity compliance
In the first report issued by the ACNC on compliance activity by charities, Charity Compliance Report: December 2012—December 2014 and Beyond, 72 per cent of concerns that were substantiated and addressed by the ACNC were about breaches of the ACNC governance standards.
