Focus of the Role
Reporting to the Telstra Group Company Secretary, the Deputy Company Secretary will support the Telstra Group of companies in meeting its corporate governance responsibilities.
This role plays a key role in supporting both the main Telstra Group Board (including Committees), as well as managing and overseeing the company secretarial function for the large and diverse portfolio of entities that comprise the Telstra Group.

What You’ll Do
In the role you will:
- Provide company secretarial and governance support to the Telstra Group Board and Committees – including agenda setting, preparing and reviewing papers, attending Board and Committee meetings and preparing minutes;
- Provide a range of company secretarial services and governance support for the subsidiaries that comprise the Telstra Group – this includes acting as company secretary for a range of Telstra Group entities;
- Lead a team of 4-5 company secretary professionals who fulfill the company secretarial function for Telstra Group subsidiaries, and overseeing company secretarial agents where appointed;
- Develop and deliver training and support materials to Telstra Group and subsidiary directors
- Play a key role in the continued development and implementation of the Telstra Group Governance and Operating Model and proactively developing and implementing additional initiatives to further enhance company secretarial and governance oversight of Telstra Group entities (working in conjunction with the business and other internal stakeholder groups)
- Provide timely and practical best practice corporate governance advice and support to the Telstra Group – this includes:
- Engaging with internal customers and stakeholders as a trusted advisor and supporting the Telstra Group and subsidiary boards of directors to carry out their governance role
- Playing a key role in the preparation of reports associated with Telstra’s full-year reporting (including responsibility for preparing Telstra’s annual corporate governance statement)
- Providing support for the delivery of Telstra’s Annual General Meeting, including preparing scripts for the Chairman and other materials, and providing governance advice
- Managing and advising on Telstra Group governance documents (including the Telstra Group Board and Committee Charters and Board policies) and Telstra’s delegations’ framework
- Identifying and implementing continuous process improvements within the company secretary team
About You
To be successful in the role you’ll need:
- A Bachelors degree qualification in Law or a related field
- Experience as a deputy company secretary or company secretary, or experienced corporate lawyer looking for a change in role. Candidates with relevant experience as a deputy company secretary or company secretary for an ASX listed company will be preferred.
- An ability to navigate and enhance complex processes to make them more efficient.
- Extensive knowledge of corporate law and corporate secretarial requirements.
- Deep technical proficiency in the Corporations Act and ASX listing rules
- Excellent written and verbal communication skills
- The ability to engage, lead and influence, and build strong stakeholder relationships
- An enquiring mind, a keen eye for detail and be a champion of good corporate governance
- An appreciation for confidential matters and discretion, together with a high level of professionalism
