General Meeting 2019

The General Meeting will be held at the 36th National Conference at Sofitel Sydney Wentworth Hotel, 61-101 Phillip Street, Sydney NSW on Monday, 2 September 2019, commencing at 1.10pm.

Ordinary business

Election of Directors

1. To note and elect a Director from Victoria to the Board of Governance Institute of Australia Ltd, for a term of three years.

The persons duly nominated in Victoria, In alphabetical order, are:

  • Mr Garth Fountain-Smith FGIA
  • Ms Deborah Hambleton FGIA
  • Mr Kenneth Weldin FGIA

The Board welcomes the interest shown by the incumbent and the new nominees.
A biographical statement for each candidate accompanies this Notice.
Pursuant to the Constitution, if more candidates are nominated than there are vacancies to be filled at the General Meeting (GM), then an election shall be held at the GM. The candidates will be voted on individually. Members may vote for only one candidate.

In terms of Clause 15.7 (a) of the Constitution, the candidate receiving the highest number of votes, whether in person or by proxy, attorney or representative voting shall be declared elected. Where two or more candidates receive an equal number of votes, the person to be elected shall be chosen by lot and that shall be conducted by the Company Secretary.

2. To note the appointment of a Director from South Australia to the Board of Governance Institute of Australia Ltd, for a term of three years.

The person duly nominated in South Australia is:

  • Ms Christine Manuel FGIA.

As the number of persons nominated in South Australia corresponds exactly with the number of vacancies, there is no requirement to conduct an election in respect of the South Australia representative and the nominee is deemed appointed to the Board of Governance Institute of Australia Ltd under clause 15.7(c)(v) of the Constitution.
